The Services are intended to assist businesses in communicating with their customers but do not replace human oversight.

2. Client Responsibilities

Clients are responsible for:

  • Ensuring all contact data used with the Services was obtained legally
  • Complying with all applicable telemarketing and messaging laws
  • Obtaining proper consent from customers before sending SMS messages
  • Complying with the Telephone Consumer Protection Act (TCPA) and A2P messaging regulations
  • Maintaining accurate information about their services, pricing, and availability

Zpulse Media is not responsible for how clients collect or use customer data.

3. AI Communication Disclosure

Our Services may use artificial intelligence systems to generate automated phone calls, SMS messages, or chat responses.

By using the Services, the Client acknowledges that:

  • Communications may be generated by AI systems
  • Responses may not always be perfectly accurate
  • The Client is responsible for monitoring communications with their customers

Zpulse Media does not guarantee that AI-generated responses will always be correct, complete, or appropriate.

4. SMS and Messaging Compliance

If the Services include SMS or messaging functionality:

  • Clients must obtain express consent from recipients before sending messages
  • Recipients must have the ability to opt out of messaging
  • Clients must comply with all carrier regulations and messaging laws

Zpulse Media reserves the right to suspend messaging services if misuse or regulatory violations are suspected.

5. Call Recording and Monitoring

Some Services may involve call recording or monitoring for quality assurance, analytics, or training purposes.

Clients are responsible for ensuring compliance with all applicable call recording laws in their jurisdiction.

Where required, clients must notify callers that calls may be recorded.

6. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.

The Services may occasionally experience downtime due to:

  • Software updates
  • Maintenance
  • Telecommunications outages
  • Third-party service disruptions

Zpulse Media is not liable for losses caused by service interruptions.

7. Third-Party Integrations

Our Services may integrate with third-party platforms including, but not limited to:

  • CRM platforms
  • SMS gateways
  • Phone carriers
  • Marketing platforms

Zpulse Media is not responsible for the performance, availability, or policies of third-party services.

8. Payment Terms

Clients agree to pay all fees associated with the Services according to their selected plan.

Payments may include:

  • Subscription fees
  • Usage-based fees, such as call minutes or SMS volume
  • Setup or onboarding fees

Failure to make timely payments may result in suspension or termination of Services.

All payments are non-refundable unless otherwise stated in writing.

9. Intellectual Property

All software, systems, processes, and materials used to provide the Services remain the property of Zpulse Media.

Clients may not:

  • Copy or reproduce the software
  • Reverse engineer the systems
  • Resell or sublicense the Services without written permission

10. Acceptable Use

Clients may not use the Services to:

  • Send spam or unsolicited communications
  • Conduct illegal activities
  • Engage in fraudulent behavior
  • Harass or deceive individuals
  • Violate telecommunications or privacy laws

Violation of these policies may result in immediate termination of Services.

11. Limitation of Liability

To the fullest extent permitted by law, Zpulse Media shall not be liable for:

  • Lost profits
  • Lost leads or customers
  • Business interruptions
  • Indirect or consequential damages

The total liability of Zpulse Media for any claim related to the Services shall not exceed the amount paid by the Client for Services in the previous three months.

12. Indemnification

Clients agree to indemnify and hold harmless Zpulse Media from any claims, damages, or legal expenses arising from:

  • Misuse of the Services
  • Violation of telecommunications or marketing laws
  • Unauthorized use of customer data

13. Termination

Zpulse Media reserves the right to suspend or terminate Services if:

  • These Terms are violated
  • Payment is not received
  • The Services are used for unlawful activity

Clients may terminate Services according to the cancellation terms of their service agreement.

14. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted on our website with the revised effective date.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles.
